Gaia Kitchen Inc. (“we”, “us”, “our”)**

Welcome to www.gaiakitchen.ca (the “Site”). These Terms of Service (“Terms”) govern your use of the Site and any services offered through it, including meal delivery, supper club reservations, private event services, subscriptions, content, and any related features (collectively, the “Services”). By accessing or using the Site or Services, you agree to be bound by these Terms. If you do not agree, do not use the Site or Services.

1. Acceptance of Terms

By accessing or using the Site and/or Services, you confirm that you are at least 18 years old (or the legal age of majority in your jurisdiction) and capable of forming a binding contract. If you are using the Site on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.

2. Changes to Terms

We may modify these Terms at any time, at our sole discretion. We will post the updated Terms on the Site with a revised “Last Updated” date. Your continued use after changes indicates your acceptance of the updated Terms.

3. Use of the Site & Services

a. Permitted Use

You agree to use the Site and Services only for lawful purposes and in compliance with all applicable laws and regulations. You will not:

  • interfere with the operation of the Site;

  • attempt to gain unauthorized access to restricted areas;

  • post, upload, or transmit content that is unlawful, abusive, defamatory, obscene, or otherwise prohibited.

b. User Accounts

Certain features (such as placing orders or booking events) may require an account. You are responsible for maintaining the confidentiality of your account and password, and for all activities that occur under your account.

4. Orders, Payments & Refunds

a. Orders

All meal plans, supper club tickets, and event bookings are subject to availability and acceptance. Prices displayed are in Canadian dollars (CAD) and may include taxes where applicable.

b. Payment

Payments must be made in full at the time of ordering. We use third-party payment processors; your use of those services is also governed by their terms.

c. Refunds & Cancellations

All purchases made through www.gaiakitchen.ca are final.

Because our meals and events require advance planning and preparation, we’re unable to offer refunds, cancellations, or changes once an order or booking has been confirmed.

In the rare event that Gaia Kitchen Inc. needs to cancel or reschedule a service, we’ll do our best to offer a suitable alternative or a credit where appropriate.

Nothing in this policy affects any rights you may have under applicable consumer protection laws in British Columbia, Canada.

5. Intellectual Property

All content on the Site — including text, graphics, logos, images, videos, and software — is owned or licensed by Gaia Kitchen Inc. and is protected by copyright and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works without our prior written consent.

6. User Content

If you post content (reviews, comments, photos, etc.), you grant us a worldwide, royalty-free, non-exclusive license to use, modify, and display such content in any media now known or hereafter developed.

7. Privacy

Our Privacy Policy, available on the Site, explains how we collect, use, and protect your personal information — including email sign-ups, contact forms, and ordering information. By using the Site and Services, you consent to the collection and use of your information as described in the Privacy Policy.

8. Disclaimer of Warranties

The Site and Services are provided “as is” and “as available” without any warranty of any kind, either express or implied. We do not guarantee that the Site will be uninterrupted, secure, or error-free.

9. Limitation of Liability

To the fullest extent permitted by law, Gaia Kitchen Inc., its affiliates, and licensors will not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of your use of the Site or Services.

10. Indemnification

You agree to indemnify and hold harmless Gaia Kitchen Inc., its officers, directors, employees, and agents from any claim, liability, loss, damage, cost, or expense (including legal fees) arising out of your use of the Site, your violation of these Terms, or your violation of applicable laws.

11. Governing Law & Dispute Resolution

These Terms and your use of the Site are governed by the laws of British Columbia, Canada and the federal laws of Canada applicable therein. You agree to the exclusive jurisdiction of the courts of British Columbia to resolve any disputes.

12. Termination

We may suspend or terminate your access to the Site and Services at any time, without notice, for conduct we believe violates these Terms or is harmful to other users or our business.
